# EFL Source License Version 1.0 — September 29, 2026 Copyright 2026 Endeavor Consulting Group, LLC. ## 1. Scope and definitions **Licensor** means Endeavor Consulting Group, LLC. **You** means the person or organization exercising rights under this License. **Software** means the code and associated documentation that Licensor expressly distributes under this License, including its original portions within modified versions. A package's `LICENSING-SCOPE.md` identifies the covered material. Merely mentioning, linking to, or interoperating with another EFL module does not place that other module under this License. **Source Code** means the form of software ordinarily used to study or modify it. **Object Code** means its compiled or executable form. A **Derivative Work** is a modified or extended version of the Software containing or incorporating copyrightable portions of the Software. A **Product** is a hardware device, firmware application, software application, or larger system that uses the Software to provide material functionality beyond offering the Software itself as a reusable library, source collection, or code package. A device or application can qualify without modifying the Software. Merely putting the Software on storage media, adding a demonstration or thin wrapper, or bundling unrelated material does not by itself create a Product. **Standalone Source Sale** means providing Source Code of the Software or a Derivative Work for money or other consideration as a library, module, source collection, SDK component, or substantially equivalent offering for separate reuse. It includes charging for a license, download, subscription, or other access to that Source Code. Whether the charge is separately itemized does not determine whether it is a Standalone Source Sale. The Product and service permissions in Section 3 are exceptions to this definition. **Substantial Functional Modifications** means changes or integrated additions that, considered together, make a material improvement to the Software's functionality, capabilities, performance, reliability, security, or supported platform operation compared with the version received. The improvement must be demonstrable and must represent substantive engineering work. It is assessed by the resulting technical capability or behavior, not by the number or percentage of lines changed or the amount of time claimed. Renaming, rebranding, reformatting, reorganizing files, changing comments or documentation, changing build settings, packaging, adding thin wrappers or generated bindings, routine minor bug fixes, and trivial porting changes do not, individually or merely in combination, constitute Substantial Functional Modifications. A substantial port or reliability, security, or performance improvement can qualify when it meets the preceding substantive test. ## 2. Rights granted Subject to this License, Licensor grants You a worldwide, non-exclusive, perpetual copyright license, without license fees, royalties, or per-device charges, to use, copy, study, modify, create Derivative Works of, and distribute the Software in Source Code or Object Code form, including for commercial purposes. Sales and distributions must satisfy Sections 3 through 5. The grant continues unless terminated under Section 8. Licensor also grants, on the same conditions and without royalties, permission under patent claims Licensor has authority to license that are necessarily practiced by the Software as Licensor supplies it, to make, have made, use, import, and distribute the Software and to sell it as permitted by this License. This patent permission does not cover claims practiced only because of Your modifications or combinations with other material, or patents held by others. ## 3. Products and services you may sell You may develop, manufacture, distribute, license, and sell Products containing the Software, whether the Software is modified or unchanged. You may include the Software in Product firmware and other Object Code. A Product does not have to modify the Software or meet the Substantial Functional Modifications test to qualify for this permission. You may also supply Source Code of the Software with, or in support of, a Product as reasonably needed for that Product's building, integration, operation, maintenance, repair, or further development. Such Source Code may be supplied to customers, distributors, manufacturers, contractors, and service providers, including as part of a paid Product development or maintenance package. This permission does not cover repackaging or marketing the Software as a separately reusable source library or SDK component with only an incidental Product or demonstration attached. You may charge for genuine design, integration, customization, training, maintenance, hosting, and support services. Delivering Software copies as reasonably needed to perform those services is permitted. A nominal service used only to disguise a charge for access to an otherwise prohibited source package remains a Standalone Source Sale. This License imposes no general restriction on competition, commercial services, or use in hosted applications. You need not publish or disclose Your Product's Source Code or Your modifications. You may keep them proprietary and set the terms for Your own original material, subject to preserving the conditions on covered Software in Section 5. ## 4. Standalone source resale restriction and exception You may not make a Standalone Source Sale of the Software unchanged, or of a Derivative Work that does not contain Substantial Functional Modifications. You may make a Standalone Source Sale of a Derivative Work that contains Substantial Functional Modifications, provided that: 1. The modifications form part of the derivative being supplied. Bundling unrelated code or services does not satisfy this condition. 2. The accompanying documentation identifies the EFL material, describes the substantial improvements, and identifies the changed or added files or components sufficiently for a recipient to understand what was changed. 3. You preserve this License and the applicable notices as required by Section 5. That permission covers the derivative as a whole, including unchanged Software files needed within it. It does not authorize a separate sale of the original Software or a trivially modified extraction from the derivative. An unchanged copy of a derivative that already meets the substantial-modification test may be resold subject to this License and any additional rights needed from the owners of its modifications; each reseller need not independently repeat the engineering work. You may share or redistribute the Software or a Derivative Work without charge subject to Section 5. Charging for access to the Source Code is not made a free distribution merely by describing the download itself as free. The Product and genuine service permissions in Section 3 remain available. ## 5. Notices and downstream rights For Source Code distributions, include this License, preserve relevant existing copyright, license, and third-party notices, and identify modifications in the changed files or in an accompanying change record. Do not represent modified Software as an unmodified official EFL release. For Object Code distributions, include this License and relevant notices in accompanying documentation or an electronic legal-notices file available to the recipient. An on-screen logo, startup message, or user-interface credit is not required. Recipients receive the rights in Licensor's covered material directly under this License, subject to its conditions. You may set different terms for Your own original additions and for a Product as a whole, but those terms must not purport to remove the conditions on Licensor's covered material, grant rights that this License withholds, or take away rights this License grants in that material. Ownership, third-party material, and names Licensor retains ownership of its material. You retain ownership of Your original contributions. No assignment of ownership or obligation to contribute changes back to Licensor is imposed by this License. Separately identified third-party material remains governed by its own license. This License does not override those terms, remove existing permissions, or grant rights Licensor does not control. Preserve the applicable third-party notices when distributing that material. No rights in Licensor's trademarks or branding are granted, except to identify the origin of the Software accurately and reproduce required notices. Do not imply Licensor's endorsement of Your Product or modified Software. ## 7. Warranty and liability To the fullest extent permitted by applicable law, the Software is supplied as is, without any warranty or promise of support. Licensor disclaims express and implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. You are responsible for evaluating, integrating, and validating the Software for Your intended use. To the fullest extent permitted by applicable law, Licensor is not liable for losses or damages arising from this License or the Software, whether claimed in contract, tort, or otherwise, including direct or indirect loss, lost profits, loss of data, business interruption, and incidental or consequential damages, even if the possibility of such loss was known. These exclusions do not apply to liability that applicable law does not permit to be excluded. You may offer Your own support or warranties, but only on Your own behalf; You may not bind Licensor to those obligations. ## 8. Termination and cure Your rights under this License terminate if You materially breach its conditions. You must stop the noncompliant activity. For Your first material breach, Your rights are automatically reinstated if You fully cure the breach within 30 days after receiving written notice identifying it, or if You fully cure it before receiving such notice. After a repeat material breach, reinstatement requires Licensor's written agreement. Reinstatement does not eliminate responsibility for conduct before the cure. Termination of Your rights does not terminate the rights of recipients who received the Software under this License and remain in compliance. The ownership provisions, disclaimers, liability limits, and obligations relating to earlier distributions continue to apply as appropriate after termination. ## 9. Other terms This is the complete license for Licensor's rights in the covered Software, unless Licensor grants You different rights in a separate written agreement. Exceptions, commercial alternatives, and amendments require Licensor's written agreement. A later license version does not change the terms of a copy already licensed under this version unless You separately agree to that change. Rights not expressly granted are reserved. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision on one occasion does not waive it for the future. This is a source-available license with commercial product-use permissions and a source-resale restriction. It is not an OSI-approved open-source license.
